Adani Enterprises Acquires 100% Stake in Path Highway LLP for ₹91.34 Crore

Ahmedabad : Adani Enterprises Limited (AEL) has acquired a 100% stake in Path Highway LLP (PATH) for ₹91.34 crore, strengthening the Adani Group’s presence in India’s road infrastructure sector.

The transaction was completed on August 13, 2026, through AEL’s wholly owned subsidiary Adani Road Transport Limited (ARTL) and its step-down subsidiary Adani Road GRICL Limited.

The acquisition is strategically important as it will allow ARTL to significantly increase its ownership in three road infrastructure companies and consolidate its position in the underlying road assets.

Adani Acquires Full Control of Path Highway LLP

Under the transaction, Adani Road Transport Limited acquired 99.99% of Path Highway LLP, while Adani Road GRICL Limited acquired the remaining 0.01%.

This effectively gives the Adani Group 100% ownership and control of PATH.

The acquisition was completed through a cash consideration of ₹91.34 crore, with the final acquisition cost subject to applicable closing adjustments.

No additional government or regulatory approval was required for completion of the transaction.

What Is Path Highway LLP?

Path Highway LLP (PATH) is an investment holding vehicle for road infrastructure assets.

The entity was incorporated on December 13, 2018, under the Limited Liability Partnership Act, 2008.

Its importance for the Adani Group comes from its existing investments in three road infrastructure companies.

Before the transaction, PATH held a 25.99% stake in each of the following companies:

  • Mancherial Repallewada Road Limited (MRRL)
  • Suryapet Khammam Road Limited (SKRL)
  • Bilaspur Pathrapali Road Limited (BPRL)

ARTL’s Stake to Rise to 99.99%

Following the acquisition of PATH, Adani Road Transport Limited will hold 99.99% in each of the three road infrastructure companies.

This represents a significant increase in Adani’s direct economic and strategic control over the underlying road assets.

The three companies are:

Mancherial Repallewada Road Limited

MRRL is one of the road infrastructure companies in which PATH previously held a 25.99% stake.

Following the transaction, ARTL’s ownership will increase to 99.99%.

Suryapet Khammam Road Limited

SKRL is another road infrastructure company in PATH’s portfolio.

ARTL will similarly hold 99.99% of the company after the acquisition.

Bilaspur Pathrapali Road Limited

BPRL, the third road infrastructure company associated with PATH, will also come under 99.99% ownership of ARTL following the transaction.

Deal Supports Adani’s Road Infrastructure Strategy

Adani Enterprises said the acquisition is aligned with its strategy to expand and strengthen its footprint in India’s road infrastructure development industry.

The Adani Group has been expanding its infrastructure portfolio across multiple segments, and roads represent an important part of its long-term infrastructure strategy.

By acquiring PATH, AEL can consolidate its interests in the three underlying road companies through its road transport subsidiary.

Transaction Conducted on an Arm’s-Length Basis

According to the company’s disclosure, the transaction was conducted on an arm’s-length basis.

AEL also stated that the promoter and promoter group have no interest in the transaction.

The company further disclosed that no additional regulatory or government approval was required for completing the acquisition.

Why Is the Acquisition Important?

The ₹91.34-crore transaction is relatively modest in size compared with Adani Enterprises’ overall operations, but its strategic significance lies in the ownership consolidation of road assets.

Through the acquisition, Adani Road Transport Limited will increase its ownership in three road infrastructure companies to 99.99%.

This could give the group greater control over:

  • Road infrastructure assets
  • Project operations
  • Long-term infrastructure development
  • Capital allocation
  • Asset management
  • Future expansion opportunities

The transaction also simplifies the ownership structure around the three road companies by bringing them substantially under ARTL’s control.

Impact on Adani Enterprises

For Adani Enterprises, the acquisition represents another step towards consolidating its infrastructure portfolio.

The transaction strengthens the position of its road transport arm and provides greater ownership of three road infrastructure companies.

While the immediate financial size of the deal is relatively small, the strategic benefit could be more important, particularly as India continues to invest heavily in road connectivity, highways and transportation infrastructure.

The acquisition also fits into AEL’s broader strategy of building and scaling infrastructure businesses that can generate long-term cash flows and create value through asset development and consolidation.

Bottom Line

Adani Enterprises has acquired 100% of Path Highway LLP for ₹91.34 crore, with the transaction completed on August 13, 2026.

The acquisition gives Adani Road Transport Limited 99.99% ownership in Mancherial Repallewada Road Limited, Suryapet Khammam Road Limited and Bilaspur Pathrapali Road Limited.

Although the deal is not particularly large in monetary terms, it is strategically significant because it consolidates Adani’s ownership and control over three road infrastructure companies and strengthens the group’s long-term presence in India’s roads and infrastructure sector.
