PNB to Hold EGM on September 25 to Elect Shareholder Director

New Delhi: Punjab National Bank (PNB) has announced that it will convene an Extraordinary General Meeting (EGM) on September 25, 2026, to elect one director from among the bank’s shareholders, other than the Central Government.

The bank informed the stock exchanges about the proposed EGM through an official disclosure dated August 14, 2026.

One Shareholder Director to Be Elected

The sole agenda of the EGM is to elect one director from among the shareholders of PNB, excluding the Central Government.

The election will be conducted under Section 9(3)(i) of the Banking Companies (Acquisition and Transfer of Undertakings) Act, 1970, along with the applicable provisions of the Banking Regulation Act, Nationalized Banks Scheme, PNB (Shares and Meetings) Regulations, SEBI Listing Regulations and RBI Governance Directions.

Important Cut-off Date

PNB has fixed August 28, 2026, as the specified/cut-off date.

Shareholders holding eligible shares as on this date will be entitled to participate in the process, including nomination, contesting and voting, subject to the applicable rules.

Nomination Deadline

Eligible shareholders wishing to submit nomination forms must do so by:

September 10, 2026, up to 5:00 PM.

This deadline will be important for shareholders intending to contest the election for the Shareholder Director position.

Detailed EGM Notice Yet to Be Issued

PNB said that the detailed Notice of the Extraordinary General Meeting will be issued separately in due course.

The disclosure has been made under the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
