New Delhi : Jindal Steel Limited (JSL) has announced that JSL Overseas Limited, a promoter group entity, has released the pledge on 6.53 million (65.29 lakh) equity shares of the company. The disclosure was made through separate regulatory filings submitted to the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE) under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations.
According to the filing, the pledge release became effective on July 7, 2026, while the official disclosure was submitted to the stock exchanges on July 15, 2026.
The released shares account for 0.64% of Jindal Steel’s total equity share capital. These shares had previously been pledged as collateral to secure borrowings from Deutsche Bank AG, Singapore Branch.
Complete Release of Encumbrance
The regulatory filing confirmed that the pledged shares have now been fully released, resulting in the complete removal of the encumbrance created by JSL Overseas Limited in favor of Deutsche Bank AG, Singapore Branch. This means the shares are no longer tied to the borrowing arrangement and are free from any pledge obligations.
No Change in Promoter Shareholding
The company clarified that the transaction does not involve any sale, purchase, or transfer of shares. It is solely the release of a pledge, and JSL Overseas Limited continues to own 65,29,360 equity shares, representing 0.64% of Jindal Steel’s total equity capital.
As a result, the promoter group’s ownership stake remains unchanged, ensuring there is no impact on the company’s shareholding pattern.
Positive Signal for Investors
A pledge release is generally considered a positive corporate development because it reduces the level of promoter-pledged shares, which investors often monitor as an indicator of a company’s financial health. Lower pledged holdings typically reflect improved financial flexibility, stronger balance sheet management, and enhanced corporate governance practices.
However, the company emphasized that this disclosure does not indicate any change in Jindal Steel’s business operations, financial performance, or future growth outlook. The filing is strictly related to the removal of the share pledge.
