SAIL Holds 54th AGM; Final Dividend of ₹2.35 Per Share Considered

New Delhi : Steel Authority of India Limited (SAIL) held its 54th Annual General Meeting (AGM) on Thursday, September 24, 2026, through Video Conferencing/Other Audio Visual Means. The meeting began at 10:30 hours and considered several key items, including adoption of financial statements, declaration of the final dividend and appointments to the Board.

The AGM was chaired by Dr. Ashok Kumar Panda, Chairman and Managing Director of SAIL. The company said the requisite quorum was present throughout the meeting.

CMD Highlights Company’s Performance and Future Outlook

During the AGM, the CMD addressed shareholders on SAIL’s performance and highlighted areas including renewable energy, environmental stewardship, technological advancement, corporate social responsibility and corporate governance. The company also outlined its future outlook.

The Company Secretary informed shareholders that the Comptroller and Auditor General of India (CAG) had given Nil comments on the financial statements for FY 2025-26. The Statutory Auditors’ Report also carried Nil qualifications.

Final Dividend of ₹2.35 Per Equity Share

Among the ordinary business items placed before shareholders was the proposal for declaration of a final dividend of ₹2.35 per equity share for FY 2025-26. The equity shares have a face value of ₹10 each.

Shareholders were also asked to consider and adopt the audited standalone and consolidated financial statements for the financial year ended March 31, 2026.

Other ordinary business included the re-appointment of Shri Manish Raj Gupta and Shri Alok Verma as Directors, who were retiring by rotation, and authorisation to the Board to determine the remuneration of Statutory Auditors for FY 2026-27.

Whole-Time Director Appointments Among Special Business

Under special business, shareholders considered the appointment of Shri Priya Ranjan and Shri T.N. Natarajan as Whole-Time Directors of the company.

The AGM also considered the ratification of remuneration of Cost Auditors for FY 2026-27.

E-Voting Facility Provided

SAIL had provided a remote e-voting facility to members from September 20 to September 23, 2026. Members who had not cast their votes during the remote e-voting period were provided an opportunity to vote electronically during the AGM.

Shri Sachin Agarwal of M/s Agarwal S. & Associates was appointed as the Scrutinizer for the voting process.

The meeting concluded at 11:40 hours.

SAIL said the results of the remote e-voting and e-voting conducted during the AGM, along with the Scrutinizer’s Report, will be declared and made available on the company’s website and the National Securities Depository Limited (NSDL) website within the prescribed timeline.
