NEW DELHI: Rail Vikas Nigam Limited (RVNL) has informed the National Stock Exchange (NSE) and the Bombay Stock Exchange (BSE) that its Board of Directors has taken note of the fines imposed on the company for non-compliance with certain provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The matter was reviewed during the Board Meeting held on July 25, 2026, where the Board discussed the reasons behind the regulatory non-compliance and reiterated that, as a Government of India company, RVNL does not have the authority to appoint Independent Directors.
Why Were the Fines Imposed?
The NSE and BSE imposed monetary penalties on RVNL for the quarters ended December 31, 2025, and March 31, 2026, citing non-compliance with provisions relating to the composition of the company’s Board and its statutory committees.
The non-compliance pertains to the following provisions of the SEBI (LODR) Regulations, 2015:
- Regulation 17(1) – Composition of the Board of Directors
- Regulation 18(1) – Constitution of the Audit Committee
- Regulations 19(1) & 19(2) – Constitution of the Nomination and Remuneration Committee
These regulations require listed companies to maintain an adequate number of Independent Directors, including compliance with committee composition requirements to ensure transparency, accountability, and strong corporate governance.
RVNL Explains the Reason
According to the company’s statement, the vacancies arose due to the pending appointment of Independent Directors, including the appointment of one Woman Independent Director.
The Board of Directors noted that RVNL has been consistently communicating with the Ministry of Railways, requesting the appointment of eligible Independent Directors to fill the vacant positions.
The company stated that:
- Multiple reminder letters have been sent to the Ministry of Railways.
- The management has repeatedly requested expedited appointments.
- The appointments remain under the jurisdiction of the Government of India.

RVNL emphasized that it is a Government Company, and therefore the appointment of Directors is carried out by the Government, not by the company’s management or Board.
The company clarified that it has no direct role in selecting or appointing Independent Directors and has already taken all possible administrative steps by regularly following up with the concerned ministry.
The Board requested the stock exchanges to take the company’s explanation on record while acknowledging the circumstances that led to the non-compliance.
