NEW DELHI: Rail Vikas Nigam Limited (RVNL), one of India’s leading public sector railway infrastructure companies, has announced a series of important decisions following its Board of Directors meeting held on July 25, 2026. The meeting, conducted from 11:00 AM to 12:20 PM, focused on strengthening the company’s governance, streamlining international operations, and enhancing financial oversight.
The decisions include the closure of RVNL Infra South Africa, an extension of the Internal Auditor’s contract, and the appointment of a new Cost Auditor for the Financial Year 2026–27.
Board Approves Closure of RVNL Infra South Africa
One of the most significant outcomes of the meeting was the Board’s approval to close the wholly owned subsidiary, RVNL Infra South Africa.
The decision marks the end of the company’s operations in South Africa as RVNL seeks to streamline its overseas presence and concentrate resources on its core railway infrastructure business in India.
Industry observers believe the move reflects a strategic effort to optimize international operations while focusing on domestic opportunities in India’s rapidly expanding railway modernization program.
Internal Auditor’s Tenure Extended
The Board also approved the extension of the appointment of M/s. Ravi Rajan & Co. LLP, Chartered Accountants, as the company’s Internal Auditor.
Under the decision, the audit firm’s tenure has been extended for six months, allowing it to continue serving RVNL until September 30, 2026.
The extension ensures continuity in internal financial controls, risk management, regulatory compliance, and corporate governance during the transition period.
New Cost Auditor Appointed for FY 2026–27
The Board appointed M/s. R.M. Bansal & Co., Cost Accountants, as the company’s Cost Auditor for the Financial Year 2026–27.
The firm is one of India’s established cost accounting organizations with:
- More than 50 years of professional experience
- 12 partners
- Offices across major cities including New Delhi, Mumbai, Bengaluru, Chennai, Kolkata, Hyderabad, Lucknow, and Kanpur
- Extensive experience conducting cost audits for Maharatna, Miniratna, and several Central and State Public Sector Undertakings (PSUs)
The appointment is expected to strengthen RVNL’s financial reporting and ensure compliance with statutory cost audit requirements.
Regulatory Compliance
RVNL stated that all decisions taken during the Board meeting have been officially communicated to the stock exchanges in accordance with SEBI (Securities and Exchange Board of India) regulations, ensuring transparency and timely disclosure to investors and stakeholders.
The company reaffirmed its commitment to maintaining high standards of corporate governance, financial accountability, and regulatory compliance.
American Experts React
David Richardson, Railway Infrastructure Consultant (United States)
David Richardson described the Board’s decisions as part of a broader strategy to improve operational efficiency.
“Many global infrastructure companies periodically review overseas operations to ensure resources are being deployed where they create the greatest value. Concentrating on core domestic projects while maintaining strong financial oversight is often a sound long-term strategy.”
He added that strengthening governance through experienced auditors enhances investor confidence and operational transparency.
Jennifer Collins, Corporate Governance Analyst (United States)
Jennifer Collins said the combination of strategic restructuring and enhanced audit oversight demonstrates disciplined management.
“Closing non-core international operations, extending experienced internal auditors, and appointing qualified cost auditors reflect prudent corporate governance. These measures improve financial discipline while allowing management to focus on delivering major infrastructure projects.”
She noted that transparent disclosures under SEBI regulations are essential for maintaining trust among shareholders and institutional investors.
