Gujarat Gas Merger and Demerger Plan Takes Effect Following Government Approval


Gandhinagar, India — : Gujarat Gas Limited has officially implemented its long-awaited Composite Scheme of Arrangement, marking a major restructuring within the Gujarat State Petroleum Corporation (GSPC) group. The scheme became effective on May 1, 2026, following approval from the Ministry of Corporate Affairs.

According to a regulatory filing, all entities involved in the restructuring have submitted the certified copy of the MCA’s order, along with the required scheme documents, in Form INC-28 to the Registrar of Companies in Ahmedabad. With these filings completed, the “Effective Date” of the scheme has been formally recognized as May 1, 2026.

Key Highlights of the Scheme

Under the approved plan, multiple entities within the GSPC group have been consolidated to streamline operations and improve efficiency:

  • Gujarat State Petroleum Corporation Limited (GSPC)
  • Gujarat State Petronet Limited (GSPL)
  • GSPC Energy Limited (GEL)

These companies have been amalgamated into Gujarat Gas Limited and have ceased to exist as separate legal entities without undergoing liquidation.

At the same time, the group’s gas transmission business has been demerged and transferred into a newly structured entity, GSPL Transmission Limited. This move is expected to create a more focused operational structure by separating transmission and distribution functions.

Strategic Significance

The restructuring is seen as a strategic step to simplify the corporate structure of the GSPC group, enhance operational efficiency, and unlock shareholder value. By consolidating multiple entities into a single distribution-focused company while carving out the transmission business, Gujarat Gas is positioning itself for improved scalability and clearer business alignment.

Industry observers believe the move could also strengthen Gujarat Gas Limited’s market position in India’s rapidly expanding natural gas sector, especially as demand for cleaner energy sources continues to rise.

Regulatory Compliance and Execution

The company confirmed that all regulatory requirements have been fulfilled, and the scheme is now fully operational in accordance with its approved terms. The filing of Form INC-28 with the Registrar of Companies marks the final procedural step required to bring the scheme into effect.

Looking Ahead

With the restructuring now complete, Gujarat Gas Limited is expected to focus on expanding its core city gas distribution network, while GSPL Transmission Limited will independently manage and develop the gas transmission infrastructure.

This landmark reorganization represents one of the most significant structural changes within the GSPC group in recent years, signaling a renewed push toward efficiency, growth, and long-term value creation in India’s energy sector.
