Oil India 67th AGM: All 9 Resolutions Passed; Final Dividend of ₹1 Approved

Shareholders approve FY 2025-26 financial statements, board appointments and corporate amendments

New Delhi : Oil India Limited informed the stock exchanges on Friday that shareholders approved all nine resolutions placed before them at the company’s 67th Annual General Meeting (AGM) held on September 17, 2026.

The AGM was conducted through video conferencing, with all resolutions receiving the requisite majority.

Key Resolutions Approved

Among the major resolutions approved by shareholders were:

  • Adoption of the audited financial statements for FY 2025-26, along with the reports of the Board of Directors and auditors.
  • Approval of a final dividend of ₹1 per equity share, equivalent to 10% of the paid-up share capital, for FY 2025-26.
  • Re-appointment of Abhijit Majumder as Director (Finance).
  • Appointment of Bhupinder Kumar as Government Nominee Director.
  • Authorisation for the Board of Directors to determine the remuneration of statutory auditors.
  • Amendment to the Objects Clause of the Memorandum of Association (MoA) through a special resolution.
  • Increase in the company’s authorised share capital.
  • Amendment to the Articles of Association (AoA) through a special resolution.
  • Ratification of the remuneration of the Cost Auditor.

Voting Results Submitted to Stock Exchanges

Oil India said the detailed voting results and the Scrutinizer’s Report prepared by M/s VAP & Associates have been submitted in accordance with Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company stated that the voting results and Scrutinizer’s Report are available on its website and through the CDSL e-voting platform.

With all nine resolutions receiving shareholder approval, the company has completed the matters placed before members at its 67th AGM.
