L&T Scheme of Arrangement with L&T Realty: NCLT Admits Petition, Next Hearing on October 6

Mumbai NCLT Bench admits joint company scheme petition involving Larsen & Toubro and L&T Realty Properties

Mumbai : Larsen & Toubro Limited has informed the stock exchanges that the National Company Law Tribunal (NCLT), Mumbai Bench, has admitted the Joint Company Scheme Petition concerning the proposed Scheme of Arrangement between Larsen & Toubro Limited and L&T Realty Properties Limited.

The proposed transaction is being undertaken under Sections 230 to 232 of the Companies Act, 2013, involving Larsen & Toubro Limited as the Transferor Company and L&T Realty Properties Limited as the Transferee Company, along with their respective shareholders and creditors.

NCLT Order and Next Hearing

According to the company’s regulatory disclosure, the NCLT Mumbai Bench passed its order on August 18, 2026. The order was subsequently uploaded on the NCLT website on September 1, 2026.

The matter has now been scheduled for its next hearing on Tuesday, October 6, 2026.

Notices to Government and Regulatory Authorities

As part of the proceedings, the Tribunal has directed the companies to issue notices regarding the proposed Scheme to the relevant statutory and regulatory authorities.

These include:

  • Central Government, through the Regional Director
  • Registrar of Companies (RoC)
  • Income Tax authorities
  • Other applicable statutory regulators and authorities

The Tribunal has also directed that notices be published in Business Standard in English and Loksatta in Marathi to inform stakeholders and interested parties about the proceedings.

30-Day Period for Representations

The concerned authorities have been provided 30 days to submit their representations or objections, if any, in relation to the proposed Scheme.

If no representation is received within the prescribed period, it will be presumed that the concerned authority has no objection to the proposed Scheme.

The process forms part of the statutory scrutiny undertaken by the NCLT before a Scheme of Arrangement can proceed toward further approval.

Scheme Under Companies Act, 2013

The proposed arrangement falls under Sections 230 to 232 of the Companies Act, 2013, which govern compromises, arrangements and amalgamations involving companies and their shareholders and creditors.

The admission of the petition by the NCLT represents a procedural step in the Scheme’s approval process and does not, by itself, constitute final approval of the proposed arrangement.

Larsen & Toubro made the disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The next hearing before the NCLT Mumbai Bench is scheduled for October 6, 2026, when further proceedings in the matter are expected to take place.
