Tata Steel Acquires 23% Stake in TM International Logistics for ₹335 Crore, Becomes Subsidiary

Tata Steel’s stake in TMILL rises to 74% following acquisition from IQ Martrade; NYK Holding Europe retains 26%

Mumbai : Tata Steel Limited has completed the acquisition of a 23% equity stake in TM International Logistics Limited (TMILL) for an aggregate consideration of ₹335 crore. Following the transaction, Tata Steel’s holding in TMILL has increased to 74%, making TMILL a subsidiary of Tata Steel.

The acquisition was completed on August 20, 2026, following approval from the Competition Commission of India (CCI) on August 18, 2026.

Transaction Details

Under the transaction, Tata Steel acquired 41,40,000 equity shares of TM International Logistics Limited, each having a face value of ₹10.

The transaction was executed in accordance with the Share Purchase Agreement dated May 15, 2026.

Tata Steel Now Holds 74% in TMILL

Following completion of the acquisition, the shareholding structure of TM International Logistics has changed significantly.

With a 74% holding, Tata Steel now has a controlling stake in TMILL and the company has become a subsidiary of Tata Steel.

Existing Agreements Terminated

As a consequence of the transaction, certain earlier agreements between the parties have also been terminated with effect from August 20, 2026.

These include the Joint Venture Agreement dated July 26, 2001, between Tata Steel and IQ, as well as the Deed of Adherence dated November 26, 2009, entered into among Tata Steel, TMILL, NYK and IQ.

Strategic Significance

The acquisition strengthens Tata Steel’s control over TM International Logistics and marks an important development in the group’s logistics business.

TMILL operates in the logistics and supply-chain space, and Tata Steel’s increased ownership is expected to provide greater control over the company’s strategic direction and operations.

The transaction also marks a change in the long-standing ownership arrangement involving Tata Steel, NYK and IQ.

Regulatory Disclosure

Tata Steel disclosed the completion of the transaction under Regulations 30 and 51 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The ₹335-crore acquisition is therefore an important corporate transaction for Tata Steel, with the company increasing its stake from 51% to 74% and consolidating TM International Logistics as its subsidiary.
