CCEA Approves ₹52,878 Crore Fairfax Deal for IDBI Bank, Marking Major Financial Sector FDI

Toronto-based Fairfax Financial Holdings to acquire 60.72% stake; government and LIC to retain minority holdings as ownership shifts to the private sector

The Union Cabinet’s Cabinet Committee on Economic Affairs (CCEA), chaired by Prime Minister Narendra Modi, has approved the sale of a 60.72% stake in IDBI Bank to Toronto-based Fairfax Financial Holdings for ₹52,878 crore, according to an official statement cited in the source report.

The proposed transaction would mark one of India’s most significant financial sector disinvestment deals and, if completed as described, the largest foreign direct investment (FDI) transaction in the country’s financial sector.

The shares are jointly held by the Government of India and the Life Insurance Corporation of India (LIC). The transaction is part of the government’s broader strategic disinvestment policy.

Government and LIC to Sell Majority Stake

Under the proposed arrangement, the government will sell 30.48% of IDBI Bank, out of its existing 45.48% shareholding. LIC will divest 30.24% of its 49.24% stake.

Following the transaction, the government is expected to retain a 15% stake, while LIC’s shareholding will stand at 19%.

The CCEA has also authorised an empowered group of ministers, headed by Finance Minister Nirmala Sitharaman, to oversee the sale of the government’s remaining 15% stake through the open market in accordance with the prescribed standard operating procedure. This approach is intended to allow the government to benefit from any future appreciation in the bank’s value.

LIC will manage its remaining shareholding in line with its internal policies and applicable regulatory requirements.

Fairfax to Reduce Stake to 26% Over 15 Years

The transaction will include an open offer by the new investor, providing minority shareholders with an opportunity to exit their investment.

However, Fairfax will eventually have to reduce its shareholding to 26% to comply with regulatory requirements. According to a government official quoted in the report, Fairfax and the Reserve Bank of India (RBI) will work out a 15-year schedule for the reduction.

LIC is also expected to bring its post-transaction holding down from 19% to 15% over two years, according to the report.

CSB Bank Stake Poses a Regulatory Challenge

Fairfax also holds a 40% stake in CSB Bank through Fairfax India Holdings Corporation. Under the proposed arrangement, it will have to either exit CSB Bank or merge it with IDBI Bank within two years, the report said.

The issue arises from RBI norms governing the ownership and operation of multiple banks by the same entity. The final structure will need to comply with the applicable regulatory framework.

IDBI Bank’s Transition to Private Ownership

The proposed sale marks a major milestone in the evolution of IDBI Bank, which began as a development financial institution in 1964 before being converted into a banking company in 2004.

The deal would transfer control of the bank to Fairfax, founded and led by Indian-Canadian billionaire businessman Prem Watsa.

The acquisition could also strengthen Fairfax’s presence in India’s financial services sector. Pratik Shah, Partner and National Financial Services Leader at EY India, said the deal could provide access to a large banking platform, including its distribution network and funding capabilities.

According to Shah, the strategic value extends beyond acquiring a bank and could help Fairfax build a broader financial services business in India.

Government Says Employee Interests Will Be Protected

Two senior government officials cited in the report said discussions had been held with IDBI Bank stakeholders and employee concerns had been addressed.

The officials said employees’ service conditions would remain unchanged and that pension benefits were fully funded. These assurances are intended to address concerns surrounding the bank’s transition to private ownership.

Strategic Disinvestment Policy Continues

Finance Minister Nirmala Sitharaman said the government’s reform agenda would continue. She had announced the strategic disinvestment policy in her 2021 Budget speech.

The government has reportedly raised ₹55,757 crore through disinvestment in the current financial year, against a combined Budget target of ₹80,000 crore for disinvestment and asset monetisation.

Competitive Bidding Process

Five parties initially submitted expressions of interest in the IDBI Bank transaction. Four qualified at the next stage, while two submitted techno-financial bids to become qualified bidders.

The Finance Ministry did not disclose the bidders’ identities. Emirates NBD, a Dubai-based banking group, was also reported to have been among the interested parties.

The ministry said there was no predetermined benchmark for bids in such transactions. Bidders independently assess the value of the enterprise and submit confidential bids in sealed envelopes. Independent agencies also conduct valuations, which are used to assess whether the bids are reasonable.

What the Deal Means for India’s Banking Sector

The proposed transaction represents a significant step in the government’s efforts to reduce its ownership in public sector-linked financial institutions and attract private investment.

For Fairfax, the acquisition could provide a substantial banking platform and an opportunity to expand its financial services operations in India. For the government and LIC, the sale offers a route to monetise part of their holdings while retaining residual stakes.

The final outcome will depend on completion of the transaction and compliance with the applicable regulatory requirements.
